Entrepreneurs and Industry Advisory Board Terms of Reference
Reporting Arrangements
The Entrepreneurs and Industry Advisory Board (EIAB) is established by the BOD to provide strategic industry advice to the BOD and where relevant, the AB.
Purpose and Scope
- The IEAB fosters industry partnerships and connections with entrepreneurs who provide advice that contributes to new course development areas and emerging disciplines or research. It also provides feedback about graduate employability, course alignment with current industry practice and the relevancy and currency of the School’s courses.
- The expertise and insights of members may be used to inform new course developments and reviews of existing courses.
Responsibilities
- Connects the School with business, industry and the professions, and informs and assists with the achievement of the School’s strategic objectives.
- Enables high quality and proactive engagement with individuals, organisations and corporations in business, industry and the professions.
- Provides input to the School on current and future education needs for diverse industries.
- Offers guidance and suggestions on education, research and partnership opportunities.
- Ensures our education and programs are relevant to industry needs and that graduates have current knowledge and skills sought by employers.
Membership
- Members of the EIAB will be appointed by the BOD and shall consist of not more than eight (8) persons with industry experience and knowledge relevant to Albion’s courses, and will comprise of a majority of independent or external members.
- The Chair of the BOD may not be a member of the EIAB.
- The Chair of the EIAB will be an independent director appointed by the BOD but may not be the Chair of the BOD.
Term of Office
- Members shall serve for one (1) year in the first instance and be eligible for reappointment for up to three (3) years, and maybe reappointed for a further three (3) years
- Casual vacancies shall be filled by invitation of the BOD and shall serve only the remaining period of the member they replace.
Resignations and Removal from Office
- A member may resign from his/ her office by notice of resignation in writing to the BOD.
- The EIAB may remove a member for breach of a duty set out above in the “Responsibilities” section, including the inability of the member to meet ‘Fit and Proper Persons Requirements’ as required by the OFS as detailed in the Constitution. The removal from office may be effected only at a meeting of the EIAB of which notice (including notice of the motion that the director concerned be removed from office for breach of duty) was duly given.
- The motion for removal must not be put to the vote of the meeting unless the member concerned has been given a reasonable opportunity to reply to the motion at the meeting, either verbally or in writing.
- If the member to whom the motion for removal refers does not attend the meeting, a reasonable opportunity to reply to the motion is taken to have been given if notice of the meeting has been duly given.
Meeting Frequency and Quorum
- The EIAB will normally meet at least three (3) times a year. Meetings may be face-to-face, electronic or combination of face- to- face and electronic meetings.
- No business may be transacted unless there is a quorum of half of the number of directors (not including casual vacancies).
Secretary of the Committee
- The Chair in consultation with the Director of Operations shall appoint a member of administrative staff to be the Secretary for the EIAB.
